Primary

The primary purposes of the Corporation are:

1. To engage in live and/or online gaming and gambling activities, live or online race books, sports pools or sports betting, online cockfighting, bingo, horse racing or dog racing, including the use of gaming devices, software, hardware, point of sale (pos), equipment and supplies, and
2. To engage in the live or online/video streaming operation of a casino, card club or other enterprise including, without limitation, to slot machines, gaming tables, cards, dice, gaming chips, player tracking systems, payment platforms, cashless wagering systems, mobile gaming systems, social online gaming, online emoney, online real money gaming, poker tournaments, inter-casino linked systems and related associated activities, software, hardware, equipment, systems and supplies.;

1. Common - Voting - with Par
   

   SERIES “B” (COMMON SHARES) consisting of SHARES with a par value of ONE THOUAND PESOS (Php1,000.00) per share; Provided, these shall likewise be voting shares; Provided, further, that those subscribing to these shares must subscribe to a block consisting of FIVE THOUSAND (5,000) shares each; and

2. Redeemable Preferred - Non Voting - with Par
   

   SERIES “C” (NON-VOTING SHARES) consisting of SHARES with a par value of FIVE HUNDRED PESOS (Php500.00) per share; Provided, these shall be non-voting shares; Provided, further, that those subscribing to these shares must subscribe to a block consisting of ONE THOUSAND (1,000) shares each.
